1. Prepaid Services

1.1. All digital marketing services provided by Srim Works are prepaid. Payments must be made in advance before the commencement of any services.

2. Pay-As-You-Go

2.1. There are no long-term commitments required. Clients can opt for services on a pay-as-you-go basis, allowing flexibility in managing their marketing needs.

3. Cancellation

3.1. Clients may cancel services at any time by simply choosing not to subscribe for the following month. There is no obligation to continue beyond the period for which payment has been made.

4. Client Responsibilities

4.1. The Client shall provide all necessary information and materials required by Srim Works to perform the services, including but not limited to access to the Client’s Google Ads account.
4.2. The Client represents and warrants that all information and materials provided to Srim Works are accurate, complete, and not misleading.
4.3. The Client is solely responsible for any content, numbers, or data, including but not limited to revenue figures, used in the marketing of the Client’s advertisements. The Client shall fully indemnify and hold Srim Works harmless from any claims, damages, or liabilities arising from the use of such content.

5. Indemnification

5.1. The Client agrees to indemnify, defend, and hold harmless Srim Works, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or related to the Client’s use of the services, including any claims made by third parties.

6. Limitation of Liability

6.1. Srim Works shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, revenue, or data, arising out of or in connection with the services provided, even if Srim Works has been advised of the possibility of such damages.

7. Confidentiality

7.1. Both parties agree to keep all confidential information obtained during the course of this Agreement confidential and not to disclose it to any third party without the prior written consent of the other party, except as required by law.

8. Dispute Resolution

8.1. Any disputes arising out of or in connection with this Agreement shall be resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties, or in the absence of such agreement, by the Hyderabad High Court. The arbitration proceedings shall be held in Hyderabad, India.
8.2. The language of the arbitration shall be English.
8.3. Notwithstanding the foregoing, each party shall have the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent or stop any breach of this Agreement.

9. Governing Law

9.1. This Agreement shall be governed by and construed in accordance with the laws of India.
9.2. Subject to Clause 8, the courts of Hyderabad, India, shall have exclusive jurisdiction to settle any disputes arising out of or in connection with this Agreement.

10. Miscellaneous

10.1. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, and representations, whether oral or written.
10.2. Any amendments or modifications to this Agreement must be made in writing and signed by both parties.
10.3. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 10.4. Neither party shall assign or transfer any rights or obligations under this Agreement without the prior written consent of the other party.

11. Notices

11.1. All notices, requests, demands, and other communications required or permitted under this Agreement shall be in writing and shall be deemed to have been duly given if delivered personally, sent by registered or certified mail, return receipt requested, postage prepaid, or sent by a recognized courier service, to the following addresses:

12. Service Level Agreement (SLA)

12.1. Service Availability: Srim Works shall use commercially reasonable efforts to make the Services available 48 hours a day, 7 days a week, except for planned downtime and any unavailability caused by circumstances beyond Srim Works’ reasonable control.
12.2. Response Time: Srim Works shall respond to any Client inquiries or issues related to the Services within 48 hours during business days.
12.3. Issue Resolution: Srim Works shall use commercially reasonable efforts to resolve any issues or errors with the Services within 3 business days from the time of notification by the Client.
12.4. Campaign Performance: Srim Works shall provide regular updates and reports on the performance of the Client’s Google Ads campaigns, including key metrics such as impressions, clicks, and conversions, on a monthly basis.
12.5. Optimization: Srim Works shall continuously monitor and optimize the Client’s Google Ads campaigns to improve performance and achieve the Client’s advertising goals.
12.6. Bi-Weekly Meetings: Srim Works shall schedule and conduct bi-weekly meetings with the Client’s designated account manager to review campaign performance, discuss strategies, and address any concerns or issues.

13. General Data Protection Regulation (GDPR) Compliance

13.1. If the Client is located in the European Union or if any of the advertisements target individuals in the European Union, both parties agree to comply with the General Data Protection Regulation (GDPR) (EU) 2016/679.
13.2. The Client is responsible for ensuring that any personal data provided to Srim Works has been collected in compliance with GDPR and that all necessary consents have been obtained for processing such personal data.
13.3. Srim Works agrees to process any personal data received from the Client solely for the purpose of providing the Services and in accordance with the Client’s instructions and GDPR.
13.4. Srim Works shall implement appropriate technical and organizational measures to protect personal data against unauthorized or unlawful processing and against accidental loss, destruction, damage, alteration, or disclosure.
